Important Notifications:

·        The Great American Home Search is a skill-based contest (the “Contest”). The winner will be determined based on requirements in the Official Rules. Entrants may not automate clue submissions or use artificial intelligence to participate.

·        Individuals who earn wages as Professional Geo-Location Analysts (as that term is defined below) are not eligible to participate in any way, including assisting other eligible entrants.

·        A mobile device with internet access is required to enter.

·        This Contest is intended only for residents of the 50 U. S (D.C). and is subject to U.S. laws. The Contest is void where prohibited or restricted by law or regulation.

·        The winner will be required to complete prize acceptance documents, including a declaration of eligibility, release of liability & any documents necessary to convey the Prize (as that term is defined below).

·        This Contest is in no way sponsored, endorsed or administered by, or associated with any third-party social media platform.

·        Please read the Official Rules carefully before entering. By entering, you agree to these Official Rules, which creates a contract between you and Redfin Corporation, together with its affiliated entities, with a principal place of business at 1099 Stewart St, Suite 600, Seattle, WA 98101 (“Sponsor”). The contract includes grants of rights and indemnities to Sponsor from you, a class action waiver, and a limitation of your rights and remedies.

·        This Contest is in no way sponsored or administrated by the TODAY Show (“TODAY”). Entrants are providing information to Sponsor and not to TODAY.

Contest Overview:

Redfin is hosting a virtual scavenger hunt contest within the Redfin mobile app (the “App”). Subject to these Official Rules, the prize is a house valued in excess of $1 million dollars that includes basic furnishings, plus additional cash to assist with income and property taxes as well as homeowner insurance (the “Prize”). The Prize will also include significant restrictions and requirements. The Prize will be offered to the first eligible entrant who:

·        solves all 6 clues presented in the Contest; and

·        is the first to locate the winning “home” within the App (the “Potential Winner”).

The clues will be released periodically during the Contest Period (as defined below). A countdown timer in the App will advise entrants when the next clue will be released. You must solve the clues in the order they are dropped to progress to the next clue. To successfully solve the clues, entrants will need to review Redfin and Rocket’s Big Game commercial (which will be available within the Contest experience) and use the App’s native home search tools. While collaborative play is permitted, ineligible entrants (including but not limited to individuals who earn wages as Professional Geo-Location Analysts (defined below in Eligibility section)) must not collaborate with eligible entrants. The Prize, however, will be awarded to only 1 entrant whose Redfin account is first to complete the Contest, subject to the process outlined in the Winner Requirements and Notification section below.

Eligibility:

The Contest is open only to individual natural persons who are legal residents of the 50 United States and the District of Columbia who, at the time of entry into the Contest, are the age of majority in their state of residence (18 years old for most states, at least 19 years old for residents of Alabama and Nebraska, and at least 21 years old for residents of Louisiana and Mississippi). This Contest is void outside of the 50 United States and District of Columbia. Residents of U.S. Territories, including but not limited to Puerto Rico and Guam, are not eligible.

If selected as the Potential Winner of the Contest, entrant must also satisfy the following conditions to be eligible to win the Prize:

·        submit a valid IRS Form W-9;

·        consent to a confidential background check as set forth in the “Winner Requirements and Notification” section; and

·        agree to the requirements, limitations and restrictions regarding acceptance and ownership of the Prize.

The following individuals are not eligible to participate in this Contest and may not consult, aid, or help any eligible entrant or otherwise facilitate participation in the Contest:

·        Any “Professional Geo-Location Analyst,” which includes any individual who, as part of their paid occupation or for compensation, engages in activities involving advanced geographic inference, location identification, or map-based deduction, including but not limited to:

o   Competitive participation in geography-based games or platforms (e.g., GeoGuessr, OpenGuessr, Geotastic) at a professional or semi-professional level;

o   Creation or distribution of educational or training content related to geo-location guessing or sleuthing;

o   Employment or contractual engagement in fields requiring systematic interpretation of visual geographic clues (such as GIS analysis, cartography, remote sensing, or geospatial intelligence); and

o   Earning of income, sponsorship, or other material benefit from geo-location guessing activities.

·        Current and recently departed (within the last 180 days) employees, directors, officers, agents, contractors and representatives of the following entities (“Promotion Parties”) that are involved in the execution and promotion of this Contest: Redfin Corporation; Merkle Inc. (“Contest Administrator”); Rocket Limited Partnership; Rocket Affiliates; Rocket Media Agencies; Active Theory, LLC (“Game Administrator”); Mirimar Creative Group, LLC; Zenith Media Services, Inc.; Viral Nation Inc.; Supper LLC; Otherway London Limited; The 160over90 Division of International Merchandising Company LLC; No Hot Ashes LLC; VaynerSports Group LLC; Access Group of Miami; Athletes First LLC; Mayflower Entertainment LLC; Hailstorm LLC; TODAY; and any of their parent, affiliate and subsidiary companies, as well as their immediate family (spouse, parents, siblings and children) and household members;

·        Any individuals engaged, contracted or otherwise associated with the promotion or administration of the Contest; and

·        Corporations, businesses, non-profit organizations, governmental agencies or other entities.

Verification of an individual entrant’s eligibility will be required if entrant is selected as a potential winner. All eligibility determinations will be made by Sponsor in its sole discretion at any time, including prior to, during, or after the conclusion of the Contest.

Agreement to Official Rules; Violation of these Rules Will Result in Disqualification:

Participation constitutes entrant’s full and unconditional agreement to these Official Rules. All federal, state, and local laws apply. Decisions of Sponsor, Game Administrator, and Contest Administrator are final and binding in all matters related to the Contest. Winning the Prize is contingent upon fulfilling all requirements set forth herein. Your participation constitutes your consent for Sponsor or the Contest Administrator to contact you for the purpose of administering this Contest and for other uses by Sponsor as permitted by these Official Rules and by applicable law. You agree that you may not:

·        collaborate with any ineligible parties;

·        automate submission of answers to clues by using robotic, automatic, mechanical, or any programmed process, including use of third-party artificial intelligence sites; and

·        use multiple different identities, registrations, mobile devices, or email addresses to participate as multiple different entrants in this Contest.

Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be violating these Rules, tampering with the operation of the App or the Contest or acting in an unsportsmanlike or disruptive manner. In addition, any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law and should such an attempt be made, Sponsor reserves the right to report such violations to the appropriate state or federal officials and seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that right.

In the event there is a discrepancy or inconsistency between any other statements contained in any Contest-related materials and these Official Rules, these Official Rules shall govern and control.

Sponsor/Contest Administrator:

Sponsor: Redfin Corporation, together with its affiliated entities, with a principal place of business at 1099 Stewart St, Suite 600, Seattle, WA 98101.

Contest Administrator: Merkle Inc. (previously known as HelloWorld, Inc.), 3000 Town Center, Suite 2000, Southfield, MI 48075.

Timing:

The Contest begins on February 8, 2026 at 8:00 p.m. Eastern Time (“ET”) and ends on February 10, 2026 at 8:00 p.m. ET (the "Contest Period"). Sponsor’s servers are the official time-keeping devices for the Contest.

How to Enter:

Step 1:

The Contest is only available within the App. Data rates may apply to use of the App. Download the App available on Redfin.com, the Apple App Store (https://apps.apple.com) or Google Play (https://play.google.com/store) or update the App (if you already have it). You must have version 612.0 or later of the App to access this Contest. Then sign in or create a Redfin account (“Account”). Accounts are subject to the www.Redfin Terms of Use (www.redfin.com/about/terms-of-use) and Privacy Policy (www.redfin.com/about/privacy-policy). You must provide a valid name and email address to create your Redfin account.

Step 2:

Follow the instructions to register for this Contest. You will be required to provide your accurate first and last name (initials are not sufficient), a valid email address, home address (P.O. Boxes are not permitted), phone number, and your date of birth. When you submit this information, you will also be required to agree to these Official Rules.

Step 3:

This is a scavenger hunt-style Contest, where the goal is to solve clues to find the Prize home. 6 clues will be released and displayed in the App during the Contest Period. You must solve clues in the order that they are released. The App has countdown clock within the game experience that provides timing for when the next clue will be released and displayed.

Solving Clues: Each time a clue is displayed you will be directed to either submit information into a form and/or use the App’s native home search tools to answer the clue. You are permitted to submit up to 3 responses in your attempt to solve each clue. If you submit 3 incorrect responses, you will be unable to submit another response for 1 minute. When you have entered a correct answer, you will receive 1 puzzle piece that makes up the “House Key” puzzle. Once you have the completed House Key puzzle (i.e., you have solved all 6 clues), you will be able to move to the final step.

Final Step:

You will be presented with a limited group of homes, and you will have only 1 opportunity to use your completed House Key to unlock the home that you believe is the Prize home. You will not be told if your selection is correct or if you are the Potential Winner. You may submit your home selection through the end of the Contest Period (8:00 p.m. ET on February 10, 2026).

Winner Determination:

The first eligible entrant to solve all 6 clues who is first in time to select the winning home, as determined by Sponsor, will be the Potential Winner. To the extent that there are multiple eligible entrants who complete the contest at the same time, the Potential Winner will be the entrant who solved Clue 6 in the shortest period of time (defined as the time from when Sponsor drops Clue 6 to when entrant solved it). If a tie remains between 2 or more entrants, the potential winner will be the entrant who solved Clue 5 in the shortest period of time. This same tie-breaking process will be applied for each Clue in reverse order until 1 Potential Winner is determined.

In the event of a dispute as to the identity of an entrant or the Potential Winner, Sponsor and Contest Administrator will rely on the information submitted by the entrant to register and to create the Account. If any additional information provided by entrant is inconsistent with the information provided at registration or in creating the Account, Sponsor and/or Contest Administrator may disqualify such entrant and such disqualification will result in the forfeiture the Prize. Sponsor, in its discretion, may require additional documentation from entrant to show proof of entrant’s identity.

Winner Notification and Requirements

Contest Administrator will notify the Potential Winner that they are eligible to win the Prize on or around February 11, 2026, by phone and by email. Winner will have until the end of the day following the initial notification to complete, e-sign, and submit confirmation:

·        agreeing to nondisclosure;

·        consenting to a confidential background check;

·        declaring agreement to the Official Rules and providing necessary additional personal information confirming that they meet all eligibility requirements;

·        agreeing to a publicity release;

·        agreeing to a release of liability; and

·        completing an IRS Form W-9.

The Potential Winner may be subject to disqualification if Sponsor finds that Potential Winner’s conduct or public content is reasonably expected to cause harm to Redfin’s brand, reputation, or business relationships and is inconsistent with the positive goodwill to which Sponsor wishes to associate.

Upon Sponsor’s satisfaction with and approval of the results of the background check and other information provided by the Potential Winner, the Contest Administrator will provide Potential Winner with additional prize acceptance documents that include Prize-related information and requirements (described below in the Prize section) to claim the Prize (“Prize Acceptance Documents”).

If a potential winner cannot be contacted, fails to sign and return any of the requested documents within the required time period, does not comply with these Official Rules, or is otherwise deemed ineligible by Sponsor and/or Contest Administrator (as a result of information provided by Potential winner or information obtained during the confidential background check), Potential Winner will be disqualified from the Contest. If a Potential Winner is disqualified for any reason, the Prize will be awarded to the eligible entrant who solved all 6 clues and accurately selected the winning home in next quickest time (herein “Runner Up”) as determined by Sponsor in its sole and absolute discretion.

30 Day Revocation Period: The confirmed winner (“Winner”) will be permitted to revoke acceptance of the Prize within 30 days of the date that they are confirmed as the Winner as outlined in the Prize Acceptance documents.

Prize Description, Restrictions and Requirements, and Approximate Retail Value (“ARV”):

The Prize includes the property tied to the winning home from the virtual scavenger hunt Contest (the “Property”) and additional cash payments to assist with income taxes and other expenses.

The Property: Winner will receive a document that includes details about the Property, as well as images of the inside and outside of the Property. While the general location of the Property will be advertised post promotion, at no time will the actual address be made public. The Property includes standard appliances and furnishings, valued at approximately $22,000 (as depicted in the images provided to the Potential Winner). The estimated value of the Property, including furnishings, is $1,049,000.

Additional Cash Payments: Sponsor will also provide additional ACH transfer or check for $700,000 to assist with income taxes. Within one week of the date that Winner is confirmed and depending on the Winner’s tax circumstances, Sponsor may, in its sole discretion, offer an additional amount to Winner. Sponsor does not guarantee that the amount that it provides will cover all taxes associated with acceptance of this Prize. In addition, Sponsor will pay property taxes owed on behalf of the Winner for the first 12 months after the conveyance of the Property and will purchase homeowner’s insurance for the Property for the first 12 months for the benefit of Winner (all details of insurance coverage to be determined by Sponsor). The estimated value of these payments is $25,000.

The total approximate retail value of the Prize is $1,774,000.

Subject to applicable laws, Winner will be required to agree to the following requirements, limitations and restrictions when accepting the Prize:

·        Winner must participate in publicity events and related promotional and/or advertising activities, starting on February 23, 2026 (the “Initial Event”) and through the next 12 months. The Initial Event will happen during the 30-day revocation period. Details regarding the publicity events and promotional and/or advertising activities, which may require Winner to travel to the location of the home, will be determined by Sponsor, including but not limited to time commitment, timing, required travel, location, whether publicity events will be live or virtual. Other than the Initial Event, Winner will receive reasonable advance notice of planned media events. If travel in excess of 25 miles from Winner’s residence is required, Sponsor will arrange and pay for identified and pre-approved travel.

·        Winner will be required to sign an agreement conditionally accepting the Prize and any other documents necessary to convey the Property to Winner, which will include the following stipulations: 

o   Sponsor's intention in offering the Prize is to create a new homeowner for this Property, and a neighbor for this community. As such, it is Sponsor's desire and expectation that the Winner will make a good faith effort to reside at the Property (personally have a physical presence at the Property, including staying overnight) for not less than 50% of the days of the first 12 months from the date the Prize is transferred.

o   Winner shall not lease, rent, gift, or sublease the Property, for short-term or long-term use, for at least 12 months from the date the Property is transferred.

o   If, due to necessary circumstances, Winner seeks to sell or otherwise dispose of their interest in the Property during that 12-month period, the Sponsor shall have the right of first refusal to purchase the Property. Prior to marketing or listing the Property for sale or lease, the Winner shall provide Sponsor with written notice describing the circumstances necessitating the proposed sale of the Property. Upon receipt of such notice, Sponsor and Winner shall engage in good faith discussions for a reasonable period to determine whether the circumstances giving rise to the intended listing and sale can be cured or otherwise resolved without the sale of the Property. If such circumstances are not cured, the Winner shall provide Sponsor with written notice of the proposed listing for sale, including reasonable market listing terms, and Sponsor shall have 30 days from receipt of such written notice, to submit an offer in writing, to purchase the Property on such terms. Winner agrees to consider Sponsor's offer in good faith before listing the Property.

Standard Additional Prize Terms:

Prize is non-transferable, non-redeemable for cash, and only subject to substitution in the Sponsor’s sole and absolute discretion, which can be withheld for any reason by Sponsor. Winner is responsible for all federal, state, municipal and local taxes, fees, and other governmental and non-governmental assessments associated with receipt, acceptance, ownership, and use of the Prize. Winner will receive an IRS Form 1099-MISC reporting the actual value of the Prize received. Federal, state, municipal and local withholding laws are subject to change without notice. The withholding laws in effect at the time the Prize is claimed will be followed. The stated ARVs are determined as of the time these Official Rules were published, and the value of the Prize may fluctuate. Winner is not entitled to any difference between the ARV and the actual value of the Prize at the time the Prize is transferred, if the value of the Property decreases. All other costs and expenses associated with acceptance, ownership or use of the Prize that are not expressly set forth herein shall be solely the Winner’s responsibility.

Release:

By participating in the Contest, each entrant agrees to waive any and all claims against the Sponsor, Contest Administrator and Promotion Parties, and each of their respective officers, directors, parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, representatives and advertising and promotion agencies, and any and all other individuals associated with Contest in any way (collectively, “Released Parties”) for any injury, damage, death, loss of personal property, or other loss that may occur, directly or indirectly, in whole or in part, from the participation in the Contest or from the receipt, use, or misuse of the Prize.

Entrants further agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” Entrants and Winner acknowledge that the releases herein are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

Publicity:

Except where prohibited, participation in the Contest constitutes Winner’s irrevocable consent and grants to Sponsor and its agents, designees, licensees, and assigns to use the following information about the Winner (to the extent provided by Winner as part of the Contest, winner verification, or prize acceptance process):  Winner’s name, city and state of residence, image, likeness, photograph, signature, social media handle(s), voice, biographical information, statements, opinions, Social Video Submission, Clue Submissions, and/or Prize information (collectively, “Publicity Materials”) for promotional, advertising, public relations, news, documentary, archival, or other commercial or non-commercial purposes, in any media now known or hereafter developed, worldwide, in perpetuity, without further notice, review, approval, payment, or other consideration. The publicity grant becomes effective upon Sponsor’s confirmation of the Winner’s acceptance of the Prize and remains in effect unless the Winner revokes acceptance of the Prize, after which Sponsor will make no further use of the Publicity Materials. Sponsor will not use any of the above-mentioned information in a manner that is inconsistent with its Privacy Policy (www.redfin.com/about/privacy-policy) or applicable law.

Winner may not independently announce, publicize, or imply receipt of the Prize or status as a Winner without Sponsor’s prior written approval. Sponsor retains sole discretion over the timing, content, format, and manner of all public announcements relating to the Contest or the Winner.

General Conditions:

Sponsor’s Right to Modify or Cancel:

Sponsor reserves the right to abbreviate, modify, suspend, or cancel or terminate the Contest without further obligation, including but not limited to fulfillment of the Prize, where any of the following “Issues” occur that impair the integrity or proper functioning of the Contest:

·        Fraud;

·        Technical failures;

·        Human error; or

·        Any event or cause beyond Sponsor’s control that interferes with any aspect of the Contest, as determined by Sponsor in its sole discretion, including but not limited to any act of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulation, order or request proves to be invalid), equipment failure, terrorist act, cyber-attack or incident, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, epidemics, pandemics, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, cancellation or delay of any event, or any similar or dissimilar event.

Sponsor’s Right to Limit Prizes Awarded to the Number Stated in these Rules:

In no event will more than 1 Prize be awarded. If, for any reason, more than 1 Prize notification is sent, Sponsor reserves the right to award 1 Prize only to the entrant who has been selected based on the Winner Determination process identified above.

Limitations of the Scope of Responsibility:

The Released Parties are not responsible for:

·        Any error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft or destruction or unauthorized access to, or alteration of clue responses;

·        Any incorrect or inaccurate information either provided to entrants or where the incorrect information is caused by printing errors or by any of the equipment or programming associated with or utilized in the Contest;

·        Technical failures of any kind, including but not limited to malfunctions, delays in operation or transmission, interruptions, or disconnections to the internet, social media platforms, phone lines, or network hardware or software;

·        Any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or clue answer or contest solution to be received by Sponsor on account of technical problems, human error, traffic congestion on the App, Internet or at any website, or any combination thereof;

·        Any injury or damage to entrant's or any other person's mobile device (or any information/material stored therein) relating to or resulting from participation in this Contest, whether caused directly or indirectly, in whole or in part from entrant’s participation or downloading any materials in this Contest, including any cyber-attack or incident or otherwise compromising event impacting Contest play;

·        Unauthorized human intervention in any part of the Contest, including but not limited to the entry process;

·        Printing, typographical, technical, computer, network, or human error which may occur in the administration of the Contest, or the announcement of the Prize or in any Contest-related materials;

·        Late, lost, undeliverable, delayed or misdirected clue responses; if for any reason an entrant's clue response is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is to re-enter the clue response, if it is possible; and

·        Any unauthorized third-party use of any Contest actions.

Dispute Resolution:

Entrants agree that any and all disputes, claims and causes of action arising out of or connected with this Contest or any Prize awarded shall be governed as set forth in §2.13.9 of the Redfin Terms of Use (www.redfin.com/about/terms-of-use). Accordingly, all claims will be solely resolved by binding, individual arbitration as set forth in the Federal Arbitration Act and not in a class, representative or consolidated action or proceeding.

Severability: 

If the application of any provision of these Official Rules to any particular facts or circumstances shall for any reason be held to be invalid, illegal or unenforceable by a court, arbitration panel, or other tribunal of competent jurisdiction, then:

·        The validity, legality and enforceability of such provision as applied to any other particular facts or circumstances and the other provisions of these Official Rules shall not in any way be affected or impaired thereby; and

·        Such provision shall be enforced to the maximum extent possible.

In addition, if any provision contained in these Official Rules shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it so as to be enforceable to the extent compatible with applicable law.

Sponsor’s Use of Personal Information:

By entering the Contest, you consent for the Sponsor to obtain, use, and transfer your name, email address, and other information provided for the purpose of administering this Contest. You acknowledge that Sponsor’s collection and use of your personal information is subject to Sponsor’s Privacy Policy (www.redfin.com/about/privacy-policy), which may be amended from time to time. The Game Administrator will collect your personal information on behalf of Sponsor and will transfer it to Contest Administrator. The Contest Administrator will store your personal information and use it solely for the purpose of contacting the Potential Winner to confirm his/her eligibility to win the Prize.

Social Media Disclosure:

This Contest is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, BlueSky, Meta, X (formerly known as Twitter), Mastodon, YouTube, Google, or any other social media or similar platform  (“collectively “Social Platforms”) where this Contest may be promoted, advertised or otherwise used to disseminate information relating to the Contest. Entrants understand that all information is being provided to Sponsor and not to the Social Platforms. Sponsor is not responsible for practices, terms, or actions taken by any of these or other Social Platforms. Entrants understand that they are required to comply with the terms and conditions of those social media platforms.

Terms for Social Video Submissions Posted During the Contest Period:

During the Contest Period, at your option, you may post a photo or video on a social platform (“Social Submission”) relating to this Contest. This Social Submission will not impact any aspect of the determination of the winner of this Contest; entrants acknowledge that their Social Submission is posted for entertainment purposes only. The Social Submission must not contain any content that is unlawful, inappropriate, distasteful, constitutes bullying, or otherwise includes any of the following, as determined by Sponsor’s sole discretion:

·        Is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; is profane or pornographic; or is obscene or offensive;

·        Features celebrities or public figures (or anyone else who has not given consent to be included for the purposes of this Contest);

·        Promotes bigotry, racism, hatred or harm against any group, individual or animal, or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or any other personal characteristic protected under federal, state, or local laws;

·        Promotes irresponsible or excessive consumption of alcohol; promotes illegal drugs or the use of legal cannabis or any other recreational drug, tobacco, firearms/weapons/ammunition; promotes gambling, pornography, or any particular political agenda or message;

·        Defames, misrepresents or contains disparaging remarks about other people, companies or organizations;

·        Contains trademarks, trade names or copyrighted materials owned by others, except those owned by Sponsor for which Sponsor has provided entrant a limited license to use as it relates to this Contest;

·        Contains any personal identification, such as license plate numbers, personal names (other than first name), email or street address;

·        Communicates messages inconsistent with the positive and friendly images and/or goodwill to which Sponsor wishes to associate;

·        Contains competitive products of Sponsor or the Promotion Parties; and/or

·        Violates any law or infringes upon rights, including without limitation, privacy, publicity, intellectual property rights, or that constitutes copyright infringement of any other person, company or organization.

Sponsor’s Use of Social Submissions:

By posting a Social Submission:

·        Entrant grants Sponsor and the Promotion Parties a worldwide, irrevocable, exclusive, assignable, transferable, unqualified, unrestricted, paid up royalty-free license and right to edit, modify, publish, use, reuse, distribute, display, copy and otherwise exploit the entry or any part thereof (with or without the entrant’s name and city/state), and any materials based thereon or derived therefrom, in any manner and in any media (whether now known or later developed), for any lawful purposes whatsoever (noncommercial or commercial), including, without limitation, for use in the commercial packaging, production of any merchandise to be sold commercially and point-of-sale materials, or for promotion, marketing or advertising of Sponsor, or any Promotion Party, each of their respective brands and/or products in any medium (whether now or hereafter known) throughout the world in perpetuity without further permission, notification, consideration, or payment to the entrant, except where prohibited by law. This license expressly includes a right (but not the obligation) for Sponsor to modify the entry, or to remove any third-party intellectual property. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the entry for any purpose which Sponsor deem(s) necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein; and

·        Entrant warrants and represents that any Social Submission is entirely the original creation/work of the entrant, and that use of the entry as described herein will not violate any law or infringe upon the rights, title, claim or interest of any third party.

·        Entrant forever waives in favor of Sponsor all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that may preclude the use of the entry (or any part thereof) as granted herein or require entrant’s permission to use the entry (or any part thereof) for the purposes stated herein.
